These Terms of Service ("Terms") govern your access to and use of the websites, software, and services provided by Closed Orbit ("Closed Orbit", "we", "us", or "our"), including our marketing-automation and conversion-tracking software and our managed advertising services for platforms such as Google Ads, Meta, TikTok, and Snapchat (collectively, the "Services"). By accessing or using the Services, you agree to these Terms.
Closed Orbit provides software and professional services that help businesses create, manage, optimize, and measure digital advertising campaigns. This includes managing client advertising accounts, configuring conversion tracking, and uploading conversion events to advertising platforms (including via the Google Ads API) to improve campaign performance and reporting.
You must be at least 18 years old and authorized to act on behalf of the business you represent. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
Where we manage advertising accounts or access third-party platforms on your behalf, you grant us the authorizations necessary to do so and confirm you have the right to grant them. You remain responsible for the lawfulness of the data and content you provide.
The Services integrate with third-party platforms including Google Ads, Google Analytics, Meta, TikTok, and Snapchat. Your use of those platforms is also subject to their respective terms and policies. Our use of Google APIs complies with the applicable Google API and Google Ads API Terms of Service and policies.
Fees, where applicable, are as agreed in a separate order, proposal, or subscription. Unless stated otherwise, fees are non-refundable and exclusive of taxes.
We retain all rights to the Services, software, and related materials. You retain ownership of your data and content. You grant us a limited license to use your data solely to provide the Services.
The Services are provided "as is" without warranties of any kind. We do not guarantee specific advertising results, rankings, or conversion volumes, which depend on factors outside our control including platform algorithms.
To the maximum extent permitted by law, Closed Orbit will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability for any claim will not exceed the amounts you paid us for the Services in the three months preceding the claim.
You agree to indemnify and hold Closed Orbit harmless from claims arising out of your data, your use of the Services, or your violation of these Terms or applicable law.
Either party may terminate the Services as set out in the applicable order or, absent an order, on written notice. Upon termination, your right to use the Services ends and we will, on request, delete or return your data.
We may update these Terms from time to time. Material changes will be posted on this page with a revised "Last updated" date.
These Terms are governed by the laws of the United Arab Emirates, without regard to conflict-of-law principles.
